These general terms and conditions (the "Terms") apply between you as a customer (the "customer", "you") and Passbuy AB, Reg. No. 559226-5960, address Stora Nygatan 25, 111 27 Stockholm ("Passbuy"), when ordering food, drinks and other products (together the "Products") provided on Passbuy.com or Passbuy's downloadable mobile application (together the "Platform"). By registering a user account with Passbuy or by using the Platform and/or receiving Supply (defined below) you confirm that you have read and agree to the Terms. By using the Platform, you can order Products available on the Platform from time to time.

The Platform differentiates between Products (meals) prepared by restaurants ("Restaurants") and Products supplied by shops ("Shops"). The Restaurants and Shops are together referred to as the "Partners" and separately as a "Partner".

These Terms constitute the entire agreement between you and Passbuy of all matters to which the Terms refer to. By ordering Products through the Platform or by otherwise using the Platform, you express to have accepted these Terms. By accepting these Terms, you are aware that we can send you emails or text messages in relation to your order.

Passbuy reserves the right to update these Terms at any time. The updated terms shall apply for orders placed on or after the date the updated terms are made available on the Platform.

Passbuy grants you a non-transferable, non-exclusive, revocable, limited license to access the App solely for your own personal, noncommercial use.

The rights approved to you in these Terms are subject to the following restrictions: (a) you shall not sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the App; (b) you shall not change, make derivative works of, disassemble, reverse compile or reverse engineer any part of the App; (c) you shall not access the App in order to build a similar or competitive website; and (d) except as expressly stated herein, no part of the App may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means unless otherwise indicated, any future release, update, or other addition to functionality of the App shall be subject to these Terms.  All copyright and other proprietary notices on the App must be retained on all copies thereof. Passbuy reserves the right to change, suspend, or cease the App with or without notice to you.  You approved that Passbuy will not be held liable to you or any third-party for any change, interruption, or termination of the App or any part.

You agree that Passbuy will have no obligation to provide you with any support in connection with the App. Excluding any User Content that you may provide, you are aware that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the App and its content are owned by Passbuy or Passbuy’s suppliers. Note that these Terms and access to the App do not give you any rights, title or interest in or to any intellectual property rights, except for the limited access rights expressed in Section 2.1. Passbuy and its suppliers reserve all rights not granted in these Terms.

The App may contain links to third-party websites and services, and/or display advertisements for third-parties.  Such Third-Party Links & Ads are not under the control of Passbuy, and Passbuy is not responsible for any Third-Party Links & Ads.  Passbuy provides access to these Third-Party Links & Ads only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Links & Ads.  You use all Third-Party Links & Ads at your own risk, and should apply a suitable level of caution and discretion in doing so. When you click on any of the Third-Party Links & Ads, the applicable third party’s terms and policies apply, including the third party’s privacy and data gathering practices.

Each App user is solely responsible for any and all of its own User Content.  Because we do not control User Content, you acknowledge and agree that we are not responsible for any User Content, whether provided by you or by others.  You agree that Passbuy will not be responsible for any loss or damage incurred as the result of any such interactions.  If there is a dispute between you and any App user, we are under no obligation to become involved.

You hereby release and forever discharge the Passbuy and our officers, employees, agents, successors, and assigns from, and hereby waive and relinquish, each and every past, present and future dispute, claim, controversy, demand, right, obligation, liability, action and cause of action of every kind and nature, that has arisen or arises directly or indirectly out of, or that relates directly or indirectly to, the App. If you are a California resident, you hereby waive California civil code section 1542 in connection with the foregoing, which states: "a general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor."

The App is provided on an "as-is" and "as available" basis, and Passbuy and our suppliers expressly disclaim any and all warranties and conditions of any kind, whether express, implied, or statutory, including all warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement.  We and our suppliers make not guarantee that the app will meet your requirements, will be available on an uninterrupted, timely, secure, or error-free basis, or will be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe.  If applicable law requires any warranties with respect to the App, all such warranties are limited in duration to ninety (90) days from the date of first use.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.  Some jurisdictions do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you.

To the maximum extent permitted by law, in no event shall Passbuy or our suppliers be liable to you or any third-party for any lost profits, lost data, costs of procurement of substitute products, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these terms or your use of, or incapability to use the App even if Passbuy has been advised of the possibility of such damages.  Access to and use of the App is at your own discretion and risk, and you will be solely responsible for any damage to your device or computer system, or loss of data resulting therefrom.

To the maximum extent permitted by law, notwithstanding anything to the contrary contained herein, our liability to you for any damages arising from or related to this agreement, will at all times be limited to a maximum of fifty U.S. dollars (u.s. $50). The existence of more than one claim will not enlarge this limit.  You agree that our suppliers will have no liability of any kind arising from or relating to this agreement.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Subject to this Section, these Terms will remain in full force and effect while you use the App.  We may suspend or terminate your rights to use the App at any time for any reason at our sole discretion, including for any use of the App in violation of these Terms.  Upon termination of your rights under these Terms, your Account and right to access and use the App will terminate immediately.  You understand that any termination of your Account may involve deletion of your User Content associated with your Account from our live databases.  Passbuy will not have any liability whatsoever to you for any termination of your rights under these Terms.  Even after your rights under these Terms are terminated, the following provisions of these Terms will remain in effect: Sections 2 through 2.5, Section 3 and Sections 4 through 10.

Passbuy respects the intellectual property of others and asks that users of our App do the same.  In connection with our App, we have adopted and implemented a policy respecting copyright law that provides for the removal of any infringing materials and for the termination of users of our online App who are repeated infringers of intellectual property rights, including copyrights.  If you believe that one of our users is, through the use of our App, unlawfully infringing the copyright(s) in a work, and wish to have the allegedly infringing material removed, the following information in the form of a written notification (pursuant to 17 U.S.C. § 512(c)) must be provided to our designated Copyright Agent:

Please note that, pursuant to 17 U.S.C. § 512(f), any misrepresentation of material fact in a written notification automatically subjects the complaining party to liability for any damages, costs and attorney’s fees incurred by us in connection with the written notification and allegation of copyright infringement.

These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an e-mail to the last e-mail address you provided to us and/or by prominently posting notice of the changes on our App.  You are responsible for providing us with your most current e-mail address.  In the event that the last e-mail address that you have provided us is not valid our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes described in the notice.  Any changes to these Terms will be effective upon the earliest of thirty (30) calendar days following our dispatch of an e-mail notice to you or thirty (30) calendar days following our posting of notice of the changes on our App.  These changes will be effective immediately for new users of our App.  Continued use of our App following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes. Dispute Resolution. Please read this Arbitration Agreement carefully. It is part of your contract with Passbuy and affects your rights.  It contains procedures for MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.

All claims and disputes in connection with the Terms or the use of any product or service provided by the Passbuy that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement.  Unless otherwise agreed to, all arbitration proceedings shall be held in English.  This Arbitration Agreement applies to you and the Passbuy, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under the Terms.

Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute describing the nature and basis of the claim or dispute, and the requested relief.  A Notice to the Passbuy should be sent to: Regeringsgatan 29. After the Notice is received, you and the Passbuy may attempt to resolve the claim or dispute informally.  If you and the Passbuy do not resolve the claim or dispute within thirty (30) days after the Notice is received, either party may begin an arbitration proceeding.  The amount of any settlement offer made by any party may not be disclosed to the arbitrator until after the arbitrator has determined the amount of the award to which either party is entitled.

The communications between you and Passbuy use electronic means, whether you use the App or send us emails, or whether Passbuy posts notices on the App or communicates with you via email. For contractual purposes, you (a) consent to receive communications from Passbuy in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Passbuy provides to you electronically satisfy any legal obligation that such communications would satisfy if it were be in a hard copy writing.

These Terms constitute the entire agreement between you and us regarding the use of the App. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word "including" means "including without limitation". If any provision of these Terms is held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.  Your relationship to Passbuy is that of an independent contractor, and neither party is an agent or partner of the other.  These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without Passbuy’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. Passbuy may freely assign these Terms.  The terms and conditions set forth in these Terms shall be binding upon assignees.

By ordering Products prepared by Restaurants through the Platform, you enter into an agreement directly with Passbuy as seller of the Products and accept these General Terms and Conditions.

By ordering Products from Shops through the Platform, you enter into an agreement with the Shop and accept these General Terms and Conditions and, where applicable, the Shop’s own terms of sale.

Passbuy sells meals prepared by Restaurants and delivers (if applicable) Products sold by Shops (jointly referred to as the "Supply") to you unless otherwise stated in these Terms. The Products are delivered to the location you specified when ordering. 

Passbuy operates the Platform and administers the payments made through it. At the time of your order, you pay for the Product, including any fees, directly to Passbuy. 

To ensure the quality of the Product, you can only order Products dispatched from Partners with a business location near the location you specify. The range of Partners and Products available on the Platform varies from time to time and the customer is referred to the Platform for up-to-date information on this.

Your order is an offer to purchase the Products listed in your order. When you place an order to purchase a Product through the Platform, we will notify you that the Partner has received information of the order and the estimated delivery time will be provided on the Platform.

Passbuy and Passbuy's Partners explicitly reserve that a Product may be out of stock at the time of placing the order, or that Passbuy or the Partner may otherwise be unable to deliver the Product(s), in which case the order may be cancelled, in whole or in part, and you will be refunded accordingly. Upon delivery we will send you a receipt for your order.

Please note that Passbuy never accepts orders for Products by email or by live chat.

The risk for loss of or damage to the Product passes to you once the Product has been delivered to the agreed location. Neither Passbuy nor its Partners shall be liable for any loss or damage caused to Products after delivery. You are responsible for collecting the Product at the specified location and payments made will not be refunded if you fail to receive or pick up­ the Product.

When placing an order on the Platform with delivery, you acknowledge and agree that the Products ordered will be delivered to the location provided by you for the relevant order. Delivery will be made immediately upon completion of the order by Passbuy's Partner as and if requested by you and therefore you acknowledge that the delivery service is non-refundable and that you do not have any statutory rights of withdrawal in relation to the delivery service.

You must be present at the relevant delivery location. Once the Products are delivered at the agreed location the risk will transfer to you.

For orders which include Products for which customer identification or similar is required it may be required that the order is received by the person placing the order.

For meals made available on the Platform, a list of ingredients may be provided by the Partner preparing the meal. However, we cannot guarantee that any such list or information is accurate/or up to date at all times and reserve ourselves for that the restaurants may have made changes to the ingredients included in the meal which we are not aware of. For this reason we kindly ask you to contact the relevant Restaurant directly for information about e.g. allergens, ingredients or the origin of raw materials. Contact details are provided for on the Platform.

Meals marketed on the Platform are prepared and packaged by the Restaurants in premises which meet the requirements of the National Food Agency (Sw. Livsmedelsverket) and neither Passbuy, nor Passbuy's personnel prepare, patriciate or interfere with the preparation of meals or any ingredients they contain. 

Meals from Restaurants are intended to be eaten immediately upon delivery, unless expressly stated otherwise, and Passbuy and the Restaurant are not responsible for the quality of the meal if consumed later.

If your order contains pre-packaged food, it is important that you carefully read the list of ingredients on the packaging before consuming those foods, especially if you are allergic to certain food or ingredients. Please note that Passbuy does not guarantee that the lists of ingredients displayed on the Platform are correct or up to date. If you have any questions about the ingredients of food marketed through the Platform, please contact the relevant Partner.

If your order contains pre-packaged food, it is important that you carefully read the list of ingredients on the packaging before consuming those foods, especially if you are allergic to certain food or ingredients. Please note that Passbuy does not guarantee that the lists of ingredients displayed on the Platform are correct or up to date. If you have any questions about the ingredients of food marketed through the Platform, please contact the relevant Partner.

The prices of each Product and for the delivery service are presented on the Platform at the time of ordering. Passbuy reserves the right to change prices and/or the content and information of the Products and Passbuy’s services to apply for orders placed after the change has been made. In the event of significant changes to the services or to the Platform, these Terms will be updated, and a new version will be made available on the Platform. Please make sure to read the latest, updated version of the Terms when placing an order.

For orders placed via the Platform, a minimum order value may apply. The minimum order value may differ from Partner to Partner but is stated in your cart before checkout and upon placing an order. Upon placing an order for Product(s) which does not in total exceed the minimum order value, Passbuy will charge the Customer the difference between the total price of the Product(s) and the applicable minimum order value. Please note that such costs may not be refunded in the event of a return.

Passbuy may set a price for Products from Restaurants, and may also limit the ability of Shops to offer prices for Products on the Platform, which differ from the prices offered in the Partners’ own sales channels. This is to ensure that you as a customer are only additionally paying for the specified delivery costs when ordering Products on the Platform, at the same time as Passbuy will be able to operate a viable business model when offering customers to benefit from the efficiencies generated by our Platform in terms of facilitated search, increased choice and high service levels. We continually invest in the development and improvement of our Platform, and these limitations also balance the benefits that Partners derive from joining the Platform in terms of e.g. visibility and cost savings, against our investments in offering and improving our services.

Passbuy may from time to time offer introductory prices or "trial offers" and other campaign offerings (collectively "Campaign Offers"). Each Campaign Offer is valid only once per each registered user, unless expressly stated otherwise in the Campaign terms and conditions. Passbuy reserves the right to terminate any Campaign Offer at any time without prior notice to the customer.

Gift cards and/or vouchers with a specific face value ("Vouchers") issued by Passbuy can be redeemed upon payment for Products and services available on the Platform, unless otherwise stated in the Voucher or in the terms applicable to the Voucher. A Voucher cannot be redeemed for cash. The Voucher can only be redeemed once, regardless of whether the full amount of the Voucher is used or not, and can only be used before the ordering process is completed. Once the Voucher expires, the Voucher can no longer be used for payment on the Platform, cannot be reactivated, and any remaining unused value will not be refunded.

Unless otherwise expressly agreed, payment for any Product orders shall be made at the time of ordering by using a debit/credit card, direct payment, or by any other payment methods made available on the Platform at the time of placing the order.

In connection with orders for Products made available from Shops, Passbuy will direct the payments to the Shop.

Upon approval of your return by the Shop, refund will be made by using the same payment method as you used when paying for the order, unless otherwise expressly agreed. The Partner will also be entitled to (as and if applicable) reduce the refund amount by an amount equal to the decrease in value of the Product that may have resulted in the Product being handled to a greater extent than required to determine its properties or function.

The Partner is responsible for handling and approving returns and refunds in its capacity as seller, and Passbuy is ultimately responsible in the event of disputes between the customer and the Partner.

Passbuy does not refund its own fees for delivery or other services, Vouchers or other promotions or any costs relating to minimum order value in relation to returns made to Shops as these fees are charged directly by Passbuy in accordance with these terms and not by the Shop as seller.

By accepting the Terms and placing orders on the Platform, you verify that you are at least 18 years old and that you may accept these Terms with binding effect. You confirm that you are the lawful owner of the debit/credit cards used by you to make any purchases on the Platform. You are responsible for ensuring that the information you provide when registering your user account with Passbuy or placing an order on the Platform is correct. You agree to keep your login credentials and other account information confidential and secure and to not share such information with anyone else, and you commit to inform Passbuy promptly if your credentials and/or password are obtained by a third party, in which event Passbuy shall reserve the right to close or delete your user account credentials without advance notification.

Way AB built the Passbuy app as a Free app. This SERVICE is provided by Way AB at no cost and is intended for use as is.
